Terms of Service

1. Nature of Service

SCHWARZMATTER provides commercial intelligence services to B2B companies. Our services include market monitoring, signal detection, competitive intelligence, and strategic advisory. We deliver intelligence reports and actionable insights but do not guarantee specific business outcomes or results.

2. Payment Terms

All services are prepaid monthly via Stripe. Invoices are sent at the beginning of each billing cycle. Payment is due within 7 days of invoice date. Services may be suspended if payment is not received within this timeframe.

3. Service Tiers and Cancellation

Cancellation terms vary by service tier:

• Scout: 30-day notice required
• Starter: 60-day notice required
• Growth: 90-day notice required

Notice must be provided in writing via our contact form. Cancellation takes effect at the end of the notice period.

4. Limitation of Liability

SCHWARZMATTER's liability is capped at the total fees paid by the client in the preceding 3 months. We are not liable for indirect, incidental, or consequential damages arising from the use of our services or intelligence provided.

5. Client Responsibility

Clients are responsible for how they use the intelligence provided. SCHWARZMATTER is not liable for the client's business decisions, sales approaches, or outcomes resulting from acting on our intelligence. Clients must ensure their use of intelligence complies with all applicable laws and regulations.

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive business information shared during the engagement. SCHWARZMATTER will not share client-specific intelligence with third parties. Clients agree not to share our methodologies, sources, or proprietary processes with competitors or other parties.

7. Intellectual Property

Intelligence reports and deliverables become the property of the client upon payment. However, SCHWARZMATTER retains the right to reuse general market insights, methodologies, and learnings from client work for other clients, provided no client-specific confidential information is disclosed.

8. Governing Law

These terms are governed by the laws of Estonia. Any disputes arising from this agreement shall be resolved in Estonian courts.

9. Modifications

SCHWARZMATTER reserves the right to modify these terms with 30 days notice to active clients. Continued use of services after the notice period constitutes acceptance of modified terms.
